Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "your"), and ShipOS, LLC ("ShipOS", "we", "us", or "our"), concerning your access to and use of the ShipOS platform, website, APIs, SDKs, and any related services (collectively, the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are prohibited from using the Services and must discontinue use immediately.
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending you an email notification. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
Intellectual Property Rights
Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws.
The Content and Marks are provided "AS IS" for your personal, non-commercial use or internal business purpose only. Except as expressly provided in these Terms, no part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
User Representations
By using the Services, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update it as necessary.
- You have the legal capacity and agree to comply with these Terms.
- You are not a minor in the jurisdiction in which you reside.
- You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise, except through our published APIs.
- You will not use the Services for any illegal or unauthorized purpose.
- Your use of the Services will not violate any applicable law or regulation.
User Registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
You are responsible for maintaining the security of your account credentials, including API keys and access tokens. You must immediately notify us of any unauthorized use of your account or any other breach of security. ShipOS will not be liable for any loss or damage arising from your failure to protect your account credentials.
Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Services, you agree not to:
- Systematically retrieve data or content from the Services to create a collection, compilation, database, or directory without written permission.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content.
- Engage in unauthorized framing of or linking to the Services.
- Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords or API keys.
- Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
- Attempt to impersonate another user or person or use the username or API credentials of another user.
- Use any information obtained from the Services to harass, abuse, or harm another person.
- Use the Services as part of any effort to compete with us or otherwise use the Services for any revenue-generating endeavor or commercial enterprise not authorized by us.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except as permitted by applicable law.
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Services.
Your Content & Data
The Services allow you to create, upload, store, and manage content including but not limited to blog posts, documentation, changelogs, configuration data, and media files ("Your Content"). You retain all ownership rights to Your Content.
By using the Services, you grant us a limited, non-exclusive, royalty-free license to host, store, transfer, display, and process Your Content solely for the purpose of providing and improving the Services. This license terminates when you delete Your Content or your account, except where Your Content has been shared with others and they have not deleted it.
You are solely responsible for Your Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not infringe the intellectual property rights of any third party.
Third-Party Services
The Services may contain links to third-party websites, services, or content that are not owned or controlled by ShipOS. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that ShipOS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services available on or through any such websites or services.
If you integrate third-party services with ShipOS (such as hosting providers, payment processors, or analytics tools), you are responsible for complying with the terms and policies of those third-party services.
Service Management
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Terms.
- Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including reporting such users to law enforcement authorities.
- In our sole discretion, refuse, restrict access to, limit the availability of, or disable any of Your Content or any portion thereof.
- Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or upgrades that temporarily affect service availability. We will make reasonable efforts to provide advance notice of planned downtime.
Term and Termination
These Terms shall remain in full force and effect while you use the Services. Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason or for no reason, including for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation.
We may terminate your account or access to the Services at any time, for any reason, at our sole discretion. Upon termination, your right to use the Services will immediately cease. You may export Your Content before termination using our available export tools or APIs.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.
Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.
We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall ShipOS, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services.
- Any conduct or content of any third party on the Services.
- Any content obtained from the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall our total aggregate liability exceed the greater of one hundred U.S. dollars (USD $100.00) or the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
